Welcome to Codorra. These Terms and Conditions ("Terms") govern your access to and use of the Codorra platform, website, and services (collectively, the "Platform"). By creating an account or using the Platform you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • "Codorra" means Codorra and its operators.
  • "Platform" means the website and services available at codorra.com.
  • "Author" means a user who uploads and sells items on the Platform.
  • "Buyer" means a user who purchases items on the Platform.
  • "Item" means any digital product listed for sale on the Platform, including code, scripts, themes, plugins, templates, and related documentation.
  • "Content" means any material uploaded, posted, or transmitted through the Platform.

2. Eligibility & Account Registration

  • You must be at least 18 years old to create an account or use the Platform.
  • You must provide accurate, current, and complete information during registration and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • One person or legal entity may maintain only one active account. Creating multiple accounts to circumvent restrictions is prohibited.

3. The Platform & Our Role

Codorra is a marketplace that connects Authors and Buyers of digital items. We do not create, own, or endorse the items sold on the Platform. We act as an intermediary and are not a party to the transaction between Authors and Buyers except as expressly stated in these Terms.

4. Author Obligations

  • Authors must only submit items they have the full right to sell and distribute.
  • Authors warrant that their items do not infringe any third-party intellectual property, privacy, or other rights.
  • Authors are solely responsible for the accuracy of item descriptions, screenshots, and documentation.
  • Authors must comply with our Submission Guidelines for all items submitted.
  • Authors must respond to and resolve support requests from Buyers within a reasonable time.
  • By listing an item, Authors grant Codorra a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute the item on the Platform for the purpose of facilitating sales.

5. Buyer Licence

When you purchase an item on Codorra, you are granted a single-use, non-exclusive, non-transferable licence to use that item subject to the following conditions:

  • You may use the item to create one end product for yourself or for a single client.
  • The end product may be sold, provided the item itself is not the primary value being sold (i.e., it must be incorporated into a larger work).
  • You may not resell, redistribute, sublicence, or share the item as a standalone file.
  • You may not use the item in a way that allows others to extract and reuse the item files.
  • If you need to use an item in more than one end product, you must purchase an additional licence for each.

6. Prohibited Content

You may not upload, post, or transmit any Content that:

  • Contains malware, viruses, trojans, backdoors, or any malicious or harmful code.
  • Infringes the intellectual property, privacy, or other rights of any third party.
  • Is fraudulent, deceptive, or misleading.
  • Violates any applicable law or regulation.
  • Contains hate speech, harassment, or content that promotes discrimination or violence.
  • Collects or processes personal data without appropriate disclosure and consent.

7. Payments & Fees

  • All prices on the Platform are displayed in USD unless otherwise stated. Currency conversion is handled by our payment processor at the prevailing rate.
  • Codorra charges a platform commission on each sale. The current commission rate is displayed in your author dashboard.
  • Authors receive their earnings (item price minus Codorra's commission and applicable taxes) credited to their author balance.
  • Payouts are processed according to the schedule and minimum thresholds outlined in your author settings.
  • Codorra reserves the right to adjust the commission structure with reasonable notice to Authors.

8. Taxes

You are responsible for determining and paying any taxes applicable to your use of the Platform, including income tax, VAT, GST, or sales tax. Where required by law, Codorra may collect and remit taxes on your behalf. You agree to provide any tax information we reasonably request.

9. Refunds

All sales of digital items are generally final. Refunds may be granted at Codorra's discretion in the following circumstances:

  • The item is materially different from its description or preview.
  • The item contains a critical defect that the Author is unable to resolve within a reasonable time.
  • The purchase was made fraudulently or in error.

Refund requests must be submitted within 14 days of purchase through your account dashboard. We do not offer refunds where the item has been substantially downloaded and used.

10. Intellectual Property

Codorra's name, logo, brand identity, and Platform design are the intellectual property of Codorra and may not be used without our express written permission. All items sold on the Platform remain the intellectual property of their respective Authors, subject to the licence granted to Buyers under Section 5.

11. Prohibited Conduct

In addition to the content restrictions above, you agree not to:

  • Attempt to circumvent any technical security measures or access controls on the Platform.
  • Scrape, crawl, or harvest any data from the Platform without our prior written consent.
  • Use automated tools, bots, or scripts to interact with the Platform in an abusive manner.
  • Harass, abuse, defame, or threaten any other user.
  • Engage in fraudulent transactions, charge-back abuse, or any form of payment fraud.
  • Attempt to manipulate reviews, ratings, or search rankings.
  • Solicit Buyers or Authors to transact outside of the Platform to avoid fees.

12. Suspension & Termination

Codorra reserves the right to suspend or terminate your account, remove any Content, and cancel any pending transactions at any time if we reasonably believe you have violated these Terms, our Submission Guidelines, or any applicable law. Upon termination:

  • Your right to access the Platform ceases immediately.
  • Any accrued earnings above the minimum payout threshold will be paid out on the next scheduled payout cycle, subject to verification.
  • Buyers retain their licences for items purchased prior to termination.

13. Disclaimers

The Platform and all items available on it are provided "as is" and "as available" without warranties of any kind, either express or implied. Codorra does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not endorse, verify, or guarantee the quality, accuracy, or fitness for purpose of any item sold by Authors.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Codorra and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claim shall not exceed the greater of (a) the total fees paid by you to Codorra in the twelve months preceding the claim or (b) USD 100.

15. Indemnification

You agree to indemnify, defend, and hold harmless Codorra and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your Content; (c) your violation of these Terms; or (d) your infringement of any third-party rights.

16. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email or by a prominent notice on the Platform. Continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.

17. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
